An attitude dynamics of a satellite with a variable mass distribution in a central field of Newtonian attraction is considered. It is assumed that the satellite is equipped by rotors with a variable kinetic moments. Assuming the center of mass moving in a Keplerian elliptic orbit, one indicates special rules of variations in the mass distribution providing an existence of relative equilibria, prescribed in advance. For these relative equilibria necessary conditions of stability are investigated.
